Service Descriptions

• Digital Marketing: SEO, social media marketing, PPC advertising, content marketing, email marketing, and online reputation management
• Web Development: Website design and development, e-commerce solutions, custom web applications, WordPress development, and website maintenance
• Graphic Design: Logo and branding, UI/UX design, print design, social media creatives, and motion graphics

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to our requests for feedback and approvals in a timely manner
• Provide access to necessary accounts, platforms, and materials
• Ensure you have the rights to all materials you provide to us
• Make payments according to the agreed terms
• Comply with all applicable laws and regulations

4. Payment Terms

Pricing and Quotes

All prices are quoted in US Dollars unless otherwise specified. Quotes are valid for 30 days from the date of issue.

Payment Schedule

Unless otherwise agreed in writing:

• A deposit (typically 50%) is required before work begins
• The remaining balance is due upon project completion or according to milestone payments
• Monthly retainer services are billed in advance

Late Payments

Payments not received within 15 days of the due date may be subject to a late fee of 1.5% per month. We reserve the right to suspend services until payment is received.

Refunds

Deposits are non-refundable. Refunds for completed work are at our sole discretion and will be determined on a case-by-case basis.

5. Project Timeline

Project timelines are estimates and may be subject to change based on:

• Client feedback and approval delays
• Scope changes or additions
• Unavailability of required materials or access
• Technical challenges or third-party dependencies

We will make reasonable efforts to meet agreed deadlines but cannot be held liable for delays outside our control.

6. Intellectual Property Rights

Client-Provided Materials

You retain ownership of all materials you provide to us and warrant that you have the necessary rights to use such materials.

Work Product

Upon full payment, you will own the final deliverables created specifically for your project. However:

• We retain the right to use project work in our portfolio and marketing materials
• We retain ownership of any pre-existing materials, templates, or tools used in the project
• Third-party components (fonts, stock images, plugins) remain subject to their respective licenses

Source Files

Unless specifically agreed upon, source files (e.g., PSDs, AI files, raw code) may incur an additional fee.

7. Revisions and Changes

Included Revisions

Our service agreements typically include a specified number of revision rounds. Additional revisions beyond the agreed scope may incur extra charges.

Scope Changes

Significant changes to project scope, features, or requirements may require a change order with adjusted pricing and timeline.

8. Website Hosting and Maintenance

Unless included in a maintenance agreement:

• You are responsible for arranging and paying for website hosting
• You are responsible for domain registration and renewal
• Post-launch support and updates may incur additional fees

9. Warranties and Disclaimers

Our Warranties

We warrant that:

• Services will be performed with reasonable skill and care
• Work will substantially conform to agreed specifications
• We have the right to provide the services

Disclaimer

Except as expressly stated, our services are provided "as is" without warranties of any kind. We do not guarantee specific results, rankings, traffic, or revenue from our services.

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid for the specific service
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for loss of profits, data, or business opportunities
• We are not liable for damages caused by factors outside our reasonable control

11. Confidentiality

We agree to keep confidential any proprietary information you share with us during the course of our engagement. This obligation does not apply to information that:

• Is publicly available
• Was known to us before disclosure
• Is independently developed by us
• Must be disclosed by law

12. Termination

Termination by Client

You may terminate services at any time with written notice. You will be responsible for payment for all work completed up to the termination date, plus any non-refundable expenses.

Termination by Us

We may terminate services if:

• You breach these Terms
• Payment is not received
• You fail to provide necessary cooperation or materials
• The project becomes commercially impractical

13. Third-Party Services

We may use third-party services (hosting providers, analytics tools, etc.) in delivering our services. Your use of such services is subject to their respective terms and conditions.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

• Your breach of these Terms
• Materials you provide to us
• Your use of our deliverables
• Violation of any laws or third-party rights

15. Dispute Resolution

These Terms are governed by the laws of the State of California, United States.

Dispute Process
